1. Acceptance of Terms

By accessing and using ZenAPI's API services (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you (either an individual or a legal entity) and ZenAPI ("Company", "we", "us", or "our").

2. Service Description

ZenAPI provides API services for social media data extraction and web scraping. The Service includes:

• •Analytics and usage monitoring dashboard

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. Account Registration and API Keys

To use the Service, you must create an account and obtain API keys. You agree to:

• •Maintain the security and confidentiality of your API keys
• •Notify us immediately of any unauthorized use of your account
• •Accept responsibility for all activities under your account

You may not share, sell, or transfer your API keys to third parties without our prior written consent.

4. Acceptable Use Policy

You agree not to use the Service to:

• •Scrape or collect personal data without proper consent
• •Engage in spam, phishing, or other malicious activities
• •Reverse engineer, decompile, or attempt to discover source code

Violation of this policy may result in immediate termination of your account and access to the Service.

5. Fees and Payment

Use of the Service is subject to the fees outlined in your selected subscription plan. You agree to:

• •Pay any applicable taxes in addition to subscription fees

Fees are non-refundable except as required by law or as explicitly stated in your subscription agreement. We reserve the right to modify pricing with 30 days' notice.

Failure to pay fees may result in suspension or termination of your account.

6. Service Level Agreement (SLA)

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and are not liable for:

• •Force majeure events beyond our control
• •Issues caused by third-party services or infrastructure
• •Downtime caused by your misuse of the Service

Enterprise customers may be entitled to service credits as outlined in their specific SLA agreement.

7. Intellectual Property

The Service, including all software, APIs, documentation, and related materials, is owned by ZenAPI and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service according to these Terms. You retain ownership of data you submit to the Service, and we claim no rights to your content.

You grant us a license to use, store, and process your data solely to provide the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTRUNNER ONLINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

9. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your access immediately if you violate these Terms.

Upon termination, your right to use the Service ceases immediately. We may delete your data according to our data retention policy.

10. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
